Welcome to the China Supplier Legal Verification and Due Diligence Service operated by Yuzhao Zhang (hereinafter referred to as "the Practitioner", "we", "us", or "our"). By purchasing, accessing, or using our standardized verification reports, contract review services, or related products via this website, you ("Client", "User", or "you") agree to be bound by the following Terms of Service ("Terms").
1. Scope of Services
Standardized Supplier Verification: We provide standardized, lightweight desktop due diligence reports based strictly on official, publicly accessible Chinese government and corporate registries (including the National Enterprise Credit Information Publicity System, Supreme People's Court databases, and relevant administrative registries).
Delivery Timeline: Standard reports are delivered via email in digital format (PDF) within the timeframe specified at purchase (typically 48 hours for Express Verification and 7 business days for Comprehensive Due Diligence).
2. No Attorney-Client Relationship for Standardized Reports
Information Reference Only: The standard due diligence reports and website insights provided herein are for commercial due diligence and factual reference purposes only.
No Formal Legal Representation: Purchasing a standardized online due diligence report does not create a formal attorney-client relationship, legal representation, or fiduciary obligation between you and the Practitioner.
Formal Representation Exceptions: Formal legal services—including bespoke litigation, formal legal opinions, demand letters, or official dispute representation in mainland China—require a separate, formally executed Retainer Agreement and Power of Attorney (POA) with a licensed PRC law firm.
3. Source Data & Disclaimers
Public Record Reliance: All reports reflect information available in official Chinese public databases at the precise time of data retrieval. We do not independently conduct physical on-site facility audits, factory machinery testing, or inventory inspections unless explicitly agreed upon under a custom engagement.
No Performance Guarantee: A clean or positive verification report does not constitute a financial guarantee, performance warranty, or insurance policy against future supplier breaches, product defects, or shipping delays.
4. Client Responsibilities & Accuracy of Information
To ensure accurate due diligence, you agree to provide the correct official Chinese entity name, Unified Social Credit Code (USCC), or exact registered address of the target company. We are not liable for inaccurate results caused by incorrect or fraudulent information supplied by the Client.
5. Fees, Payment, and Refund Policy
Pricing & Billing: All fees are billed in US Dollars (USD) as displayed at checkout. Payment is processed securely via third-party payment gateways.
Non-Refundable After Processing: Due to the customized and immediate nature of legal data retrieval and manual verification analysis, orders cannot be canceled or refunded once data retrieval has commenced.
6. Limitation of Liability
Cap on Liability: To the maximum extent permitted by applicable law, our aggregate legal and financial liability arising out of or related to any report or service provided shall not exceed the exact fee paid by the Client for that specific report or service.
Exclusion of Consequential Damages: Under no circumstances shall the Practitioner be liable for any indirect, incidental, punitive, loss of commercial profit, trade loss, or consequential damages resulting from your business transactions with third-party Chinese suppliers.
7. Intellectual Property & Confidentiality
Client Confidentiality: We treat all target supplier details and inquiry records submitted by you with strict professional confidentiality.
Report License: The final delivered report is licensed solely to the purchasing Client for internal business reference. Unauthorized resale, public republication, or commercial redistribution of the report is prohibited.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any dispute arising from these Terms or the services provided shall be submitted to the competent courts in the jurisdiction of the Practitioner's primary office location in China.
